The Process

Confidentiality

At Sound Business Brokers of Arizona, we prioritize protecting your company’s identity. We advertise confidentially and we do not operate on ‘autopilot’ by sending NDA’s to every inquiry. We carefully screen and communicate with all potential buyers before sharing any NDAs or details about your business. Additionally, we can utilize proprietary methods to add an extra layer of discretion to your sale, helping to handle sensitive information with the utmost care.

Valuation
& Intermediary Engagement

Business owners often do not know the fair market value of their business. Although the ultimate purchase price will be determined by the marketplace, having an experienced business intermediary involved in the valuation, marketing, and sale of your business should provide an environment where the best possible value can be placed on the business and subsequently supported in negotiations with buyers. This detailed approach translates into a greater success rate in escrow closings.

Should you be comfortable with the results of the current market value for your business, we will then prepare our engagement agreement to move forward with positioning and marketing your business for sale

Valuation Options

There are two primary approaches to business valuations: a Business Broker Opinion of Value (BOV) or a Formal Business Appraisal. A BOV is not a formal appraisal, but rather an informed estimate provided by an experienced business intermediary based on the “Most Probable Sales Price” (MPSP) range. It offers a practical, market-driven perspective on value.

It’s important to recognize the distinction between a Formal Business Appraisal and a Business Broker Opinion of Value (BOV) so you can choose the one that best fits your specific needs.

A Business Broker Opinion of Value (BOV), also known as a Broker Price Opinion or Broker Valuation, offers a practical and market-driven assessment of what a business may sell for. Based on the broker’s industry expertise, analysis of local market conditions, lending trends, and comparable sales, the BOV provides a realistic and actionable valuation. A BOV is often coordinated with the owner’s CPA and can be used not only to set an asking price but also to strategically position the business for sale at a future date.

Business Broker Opinions typically consist of 15-20 pages, including supporting documentation, and have a turnaround time—usually 10-14 business days once all necessary information is gathered. This approach is ideal for owners looking for a professional, informed valuation that’s both timely and tailored to market realities.

A Formal Business Appraisal is conducted by certified professionals, similar to real property appraisers, and provides a comprehensive, objective assessment of a business’s value.

Unlike brokers, appraisers do not typically engage in the buying or selling of businesses or real estate, focusing solely on available data. Formal business appraisals are often required for legal, financial, or lending purposes, and are essential for securing SBA funding.

Positioning
Your Business For Sale

We consult with all our clients in the preparation and presentation of their business for sale. Properly positioning a business is crucial, as you only sell your business once. Therefore, it is essential to carefully plan for the sale. Preparing your company is almost as important as the sale itself. Achieving the best price for your business goes beyond driving a hard bargain; it requires thoughtful strategy and preparation

Marketing & Promotion

Over the years, we have developed a comprehensive approach that utilizes a wide range of methods to reach potential buyers for your business. We create a professional, detailed Confidential Business Review to present your business to qualified purchasers. This information is then carefully distributed to the appropriate buyer targets, ensuring broad reach while maintaining confidentiality.

Screening
Prospective Purchasers

All prospective buyers must sign a Non-Disclosure/Confidentiality Agreement, acknowledging the sensitive nature of the information shared. While we carefully interview and pre-screen buyers to assess their financial capacity and relevant experience, the ultimate responsibility for qualifying buyers rests with the buyer and their lender. Throughout the transaction, buyers may be required to provide personal financial statements, proof of funds, or a preliminary loan review from an institutional lender.

Contract Negotiation
& Transaction Support

As licensed real estate brokers, we are fully equipped to manage contract negotiations, including the preparation of contracts and counteroffers on your behalf. Throughout the negotiation and due diligence process, we collaborate closely with your attorney and tax advisor to provide a comprehensive approach.

Our team will facilitate and manage the transaction through to closing. The timeframe will vary depending on the complexity and scope of the transaction, typically ranging from six weeks to several months.

Escrow & Closing

Once all sale contingencies have been satisfied, the closing process is coordinated with a title and escrow company. Business closings, which require specialized expertise, are handled by experienced escrow officers with legal oversight to ensure a smooth transaction. Typically, both the buyer and seller are present at the closing. If real estate is included in the transaction, both the business and real estate closings occur simultaneously.

Following the close of escrow, there is usually a transition period during which the seller provides training and consultation to the buyer, as contractually agreed, to facilitate a smooth handover.

Dana tirelessly and patiently educated me on the pros and cons of each offer. I would not hesitate in recommending her to anyone who is seriously considering selling their business.

SEARCH NO FURTHER. You have found your broker.
