What to Expect When Buying a Business

Every buyer needs to understand that most all business owners prefer to keep their decision to sell confidential. They instruct their business brokers to protect this information strictly. Therefore, prior to signing a non-disclosure agreement (NDA), we schedule and introductory call with each buyer before we share any details about the business.

Non-Disclosure Agreement

A Non-Disclosure Agreement (NDA) requires that the buyer will keep all shared information confidential and not use it for competitive purposes. Violating this agreement can have serious consequences. Most sellers will not disclose any business details without a signed NDA.

Therefore, we require each buyer to sign a non-disclosure agreement (NDA) before we can share any details about the business in question.

Confidentiality

Buyers should be aware that business owners often prefer to keep their decision to sell confidential. There is a ‘right time and place’ to make the announcement, and maintaining discretion is crucial until that moment.”

At Sound we would love to connect with you to determine if a business is a fit for you or another option may be better suited to your criteria . We do this before sending out any NDAs or information about a business.

Personal Finance Statement

For certain business sales, sellers may require additional qualifications before sharing sensitive business information. A Personal Finance Statement (PFS) might be necessary, especially when the business has confidential agreements, proprietary information, or Government contracts that could be at risk if the news of a potential sale becomes public. In these situations, disclosing information to a financially unqualified buyer could lead to significant risks, including the loss of key contracts or damage to business relationships.

To mitigate these risks, we may request that potential buyers complete a Personal Finance Statement. This helps us ensure that only serious, financially qualified buyers gain access to sensitive details, thereby protecting the integrity and confidentiality of the business being sold. By requiring a PFS, we can better safeguard the interests of both the seller and the business itself.

If you are a potential buyer interested in learning more about a business we represent, please understand that this process is a crucial step in maintaining the highest level of security and trust. You can obtain a copy of our Personal Financial Statement here. Completing this form will allow us to proceed with sharing more detailed information, provided you meet the necessary financial criteria.

As established members of national business intermediary associations, our office collaborates with a network of business brokers to expand opportunities and access a broader pool of potential deals for our clients. We also strategically target specific industries on behalf of our business buyer clients. By leveraging collaboration and targeted search strategies, we increase the likelihood of finding the ideal business for our clients at the right price point.

Escrow & Closing

Once all sale contingencies have been satisfied, the closing process is coordinated with a title and escrow company. Business closings, which require specialized expertise, are handled by experienced escrow officers with legal oversight to ensure a smooth transaction. Typically, both the buyer and seller are present at the closing. If real estate is included in the transaction, both the business and real estate closings occur simultaneously.

Following the close of escrow, there is usually a transition period during which the seller provides training and consultation to the buyer, as contractually agreed, to facilitate a smooth handover.

Why Buying a Business
is Better than Starting One from Scratch

Purchasing an existing business often presents untapped potential and immediate opportunities for growth. With a solid foundation already in place, your fresh ideas and renewed energy can drive the business to new heights, accelerating success far beyond the challenges of starting from scratch.

Immediate Cash Flow

Immediate Cash Flow

When you buy an established business, you benefit from immediate revenue streams. Unlike starting a new venture, there's no need to spend months or years building a customer base and waiting for profits to materialize. You step into a business that’s already generating income, allowing you to focus on growth from day one.

Proven Business Model

Proven
Business Model

An existing business offers a proven business model, allowing you to bypass the trial-and-error phase and significantly reduce the risks and uncertainties of a startup. With a recognized market presence, you can focus on improving operational procedures, scaling and growth from the outset.

Established Customer Base

Established
Customer Base

One of the most significant advantages is inheriting an existing customer base. Loyal customers provide immediate revenue and can be further cultivated for growth. This saves the time and effort needed to attract and retain new customers from scratch.

Trained Employees

Trained Employees &
Established Processes

Buying a business means acquiring a trained workforce that is already familiar with day-to-day operations. This expertise is invaluable for maintaining continuity and facilitating a smooth transition. Additionally, with established processes and systems in place, you can focus on growth rather than building everything from the ground up.

Easier Financing

Easier Financing

Lenders and investors are often more willing to finance the purchase of an existing business rather than a startup. The historical financial performance of the business provides a clear picture of its historical profitability and reduces the perceived risk for financiers.

Brand Recognition

Brand Recognition & Market Position

An existing business typically has brand recognition and a position in the market. Building brand awareness and market presence from scratch can take years. By purchasing an established business, you gain immediate recognition, credibility and market share.

Reduce Risk

Reduced Risk

Startups come with a higher degree of risk, with a significant percentage failing within the first few years. When you buy an established business, the initial groundwork has been laid, and the business has demonstrated its historical ability to survive and thrive in the market.

Speed to Market

Speed to Market

Launching a new business involves a long setup period – from market research, business planning, and securing financing to hiring staff and launching marketing campaigns. Buying an existing business eliminates many of these first steps, allowing you to start operations immediately and focus on improvement of the existing operation, efficiencies and growth.

I had the pleasure of working with Dana Cole during a recent business transaction, and I must say, I was thoroughly impressed. Dana represented the Seller with such professionalism, knowledge, and meticulous attention to detail that it left a lasting impression on me.
When the time came for me to embark on another business purchase, Dana was the first person that came to mind. Her availability, whether by phone or email, and her consistent check-ins throughout the transaction process, made me feel supported every step of the way.
